What I don't understand is that there should be no payment other than the annual reporting fee. If the other payments you wrote are made by another person, are they fees because, as I said, when I researched for Wyoming, I did not see any fee other than the annual reporting fee?

Hi Muhammad, it really depends. I would prefer Wyoming due to its low compliance requirements, anonymity, and faster processing time. And it tends to be cheaper in the long term.

If your LLC is formed after Jan 1, 2022 and your LLC is following calendar year, you needn't file Income tax returns by April 18 (Federal Tax day). You will mostly be required next year only. If you wanna be super super sure and talk to a CPA, let me know

I'd go with Wyoming in that case. There won't be much difference in Delaware in Wyoming in this case, except for the annual fees (Wyoming is cheaper) and reporting.

For an agency (marketing, design or IT), if you don't have any 'permanent establishment'(office) or a 'dependent agent'(employee or exclusive contractor) physically located in the US, you wouldn't have to pay Federal income tax. If you want to form an LLC in Wyoming, you need to have a registered agent located in WY. There's no way around it. If you own the WY LLC, but reside in another state (home state) and conduct business in home state, you will be considered doing business in the home state. In almost all of these cases, you may have to register your WY LLC in the home state (known as foreign LLC).

It would be interesting to know the implications in terms of laws, taxes, etc. if the LLC is registered and owned by a Foreign Company (like an EU company for example) and not just by an individual. This is never sadly addressed by anyone on KZfaq

Why would you want to register an US LLC owned by a foreign company? It kind of defeat the purpose of registering a LLC from a tax perspective and create massive tax complexity and potential double taxation issues in your own country, you might as well register a C Corp instead.
