The Walt Disney company is a multinational operation that employs roughly one hundred and ninety thousand people in forty-five countries around the world. The company is now responsible for producing entertainment in all forms. Movies, tv shows, broadcast news, theme parks, cruise lines, sports and even Broadway shows fall under their expansive corporate umbrella.
But Disney is not an entertainment company, it’s a legal firm that… sometimes… makes movies.
Executive compensation for listed companies is public information that must be filed with the Securities and Exchange Commission in an annual proxy statement. The statement must include the total compensation of the companies Chief Executive Officer, Chief Financial Officer, and three highest paid executive officers. It also must include a detailed summary of how performance-based bonuses are calculated. This rule stops executives ripping off investors by secretly paying themselves overinflated salaries.
The executives typically listed in the proxy statement are the CEO, CFO, Chief Marketing Officer, Chief Operations Officer and Chief Technical officer. It’s rare that a Chief Legal Council makes the top five. The Walt Disney Company’s top lawyer Alan Braveman made twenty-one point two million dollars in 2021 before stepping down and being replaced by Horacio Gutierrez who is already on track to be one of Americas highest paid lawyers in 2023. Gutierrez will earn that money because next to Bob Iger the companies two-time CEO, he might be the most important person in the business. The Walt Disney company is broken down into two corporate verticals.
The first vertical is their parks experiences and products. This side of the operation covers their sole ownership and management of their world famous American parks in Florida and California, their park in Paris France, their vacation club timeshare business, the Disney Cruise Line and their minority ownership stake in the Hong Kong and Shanghai Parks. Additionally, the Parks Experiences and Product vertical is responsible for licensing branded merchandise with third party manufacturers like LEGO and Hasbro.
Disney’s second vertical is what it’s best known for, media and entertainment.
This arm of the Disney empire handles content creation through it’s studios, and distribution through theatres, TV channels, cable, and streaming services and more licensing. The BASIC corporate structure looks like this, but Disney studios down here is actually seven different studios, Disney pictures, Walt Disney animation studios, Pixar, Marvel, Lucasfilm, 20th Century Fox and Searchlight Pictures so this whole complicated mess is just the basic overview.
The first way is by lobbying a task that is typically done by legal groups but something that Disney does in house. Since the goal of lobbying is to change laws in favour of the lobbyist or the group that the lobbyist represents a strong understanding of the legal system is a prerequisite. Since the company makes so much of it’s revenue from licensing the best way to secure value for shareholders is to make sure nobody can use their media without paying for it.
Warren Buffett tells his investors about the importance of a company moat, which is a metaphor for anything that can stop fair competition. Anti-competitive behaviour is normally illegal but there are ways around it. Apple inc. Buffett’s largest investment, builds a moat by designing their products to work best with only their products, locking users in to an optimized Apple ecosystem. Disney builds this moat by making it illegal to tell the same stories or use the same characters as them. The successful lobbying campaigns that gave us these two laws did more for Disney’s value than any movie or franchise it has ever produced. The companies role in getting this passed into law was so ubiquitous that today it is simply known as the Disney Laws.
So, it’s time to learn How Money Works to find out why the Walt Disney Company is a high-end legal firm FIRST and an entertainment company second.

Legitimate question, why would I want to pay Babbel 10 bucks per month per language when I can pay 20 bucks per month for chatGPT plus, that can teach you any language in the world fluently? If GPT4 was able to let me singlehandedly code an MVP from scratch without any prior coding knowledge or experience, why wouldn't I just use this instead of babble?

It might just be part of the human condition that those who gain power want to stay in power. Everybody loves to root for the underdog, but don't really think about what happens once they're no longer the underdog. Perhaps you'll grow disillusioned with them. Or perhaps you will stick with them even after they've become big and desperately trying to maintain their position as the top dog.

I noticed top companies don’t function the way they perceived. Louis Vuitton isn’t just a creative fashion brand, it relies on subjective high status image. Starbucks isn’t just a coffee company, it’s a bank they said. And now, Disney is a law firm that sells movies and merchandise. Externally, function as a delicious treat; internally function as a destructive system.

The most fundamental principle of a company is that it is a legal person, it is the law first and foremost that is at the source of any power a company exercises, so it's only natural that at high level of business running a focus on legal operations is more prominent. For anything that is ill intentioned, I would blame the decision makers, not the system.

The airline industry as a whole from the first flight to the present has been overall unprofitable. The majors are able to show short term profits with financial derivatives like air miles. They have to quickly cash those profits out because they know long term profitability is never going to be possible in aviation.

You are thinking of patent law not copyright. Copyright is about making sure those who create something are able to make their fair share without being undermined by those who will just copy the work for their own profit without putting any work into creating it.

@@ShaharHarshuv that is beyond the scope of your original comment or my response, I was just correcting a misconception you had about the purpose of copyright. Now, why patents are so much shorter has to do with societal benefit. We want to give the inventor a head start, but we don't want them to have a monopoly as that would be harmful to innovation and would hold back technical progress. The same is not true with copyright, there is little societal gain from Mickey Mouse entering the public domain.

yeah i always thought disney was a toy and IP company. I wish they had more original content than the IP they own. The copyright laws they created are beyond awful for artists and consumers. they only benefit big companies. As a creative, I hope one day those laws are reversed.

I remember seeing a dying kid in a hospital wanted some Disney character stuff with him in his room or some shit and Disneys lawyers straight up sued the parents cuz it wasn't on brand for Disney IP to decorate a hospital room

As much as I dislike Disney corporate, I feel like Florida's choice to remove their district to retaliate for taking a political stance was *incredibly* stupid. Not because Disney is powerful enough to fight back (alarmingly, they absolutely are), but because that sets an unsettling precedent that we'll all regret later. Whether you like or hate Disney, it's future companies that you should worry for. When the coffee shop you love gets shut down because its CEO is anti-abortion or pro-choice, or a news corporation or movie or book publisher suffers political retaliation for saying something somebody in their state didn't like, the politician who did it will be able to point to Florida and say "well they got away with it, so why shouldn't I?".

Yeah, it's like what the Nazis and the Soviets went at it in world war 2. You're kind of rooting for one, but regardless of who wins, the other allies would have been happy with the outcome. Let them kill each other. Disney needed to come down, but no one ever tried because doing so would be career suicide for a Florida politician. I'm so glad Ron DeSantis was stupid and petty enough to be that guy. No matter who comes out on top of their battle, the American people win either way.

I wouldn't say that Disney is a company that isn't in the business of making media so much as it's a company that has really figured out that the most profitable way to make money with media is to focus more on gaming the system than making media. While their money comes more from licensing than ticket sales, calling them "A law firm that occasionally makes movies" is a bit like calling De Beers "A mercenary company that occasionally sells diamonds". In both cases, the first activity is how they maintain an advantage in their real business.

I'd say they're not even an entertainment company. This year they've lost over a billion at the box office - even Indiana Jones will set records for losses. It's just as well they've kept their legal gig. I think their system might have run its' course - there's nothing left for Iger to buy.

The M&A strategy doesn't seem sustainable to me. Disney is starting to run out of companies to acquire in some sectors already, and I can imagine the FTC is going to put its foot down at some point (the new chair seems especially keen on tightening up antitrust laws and isn't afraid to take on big corporations to enforce it, see Microsoft trying to buy Activision). Eventually they're going to have to consider a new strategy.

@@d33pblu3 It's only a recent shift in philosophy, previously antitrust law was focused around consumer prices, i.e. the main focus was "is this going to allow the company to jack up prices and fleece the consumer?". In a lot of cases the answer is basically no, because a small competitor could still undercut them and take more market share, or there's something else keeping prices stable. Now less tangible effects like employment, innovation and consumer choice are more likely to be considered, which make it more difficult for mergers and acquisitions to get approved in the future.

After watching this video you could compare Disney to a sports company (NFL, MLB, NBA, etc) that tries to keep their most well-known players on the field no matter how old they're getting just as long as their NIL brings in revenue. Now I'm wondering how United Artists and Eon keep the James Bond franchise fresh. They change lead actors once in a while, which makes them tweak things around, but keep the basic "good vs evil" storyline pretty much intact. 60 years/25 movies and still going strong.

I'm not getting how Disney is a law firm. Having in-house attorneys handle things, does not make a company a law firm. Law firms earn their money through providing legal services to clients. Disney isn't doing that.

It alwyas confused me why Disney disrespect their IP so much. I understand that real money comes from merch and licensing . But if movies that facilitate the hype are bad then the demand for merch should fall also, right? So when movies consecutivly fail the company should start to lose more and more revenue. Yet that doesn't seem to be the case.

And they make movies so butched that a complete amateur can make a whole YT channel dissecting what is wrong with them. It is wholly intentional. Making good movies isn't apereantly on the list of priorities.

What's really bizarre is that Disney's own arguments to keep its super special district is that the lawyers have zero idea how any of this stuff is supposed to work. People who specializd in Florida Special District Law say that Disney's arguments are extremely weak and they've clearly been outsourced by law firms outside Florida. Which is very odd that Disney doesn't have someone who understands how all this stuff works on staff. Almost like they expected to get away with it and didn't feel the need.

Disney wasn't given the special administrative rights because they were going to build a theme park, it was because Walt was going to build a city that people would actually live and work in. The special administrative zone was only to streamline the bureaucratic processes involved in building it, since WDC was the sole developer..

I liked the video but I wish it were slower and longer. Tbh often I think that the videos are too fast. I rember watching your video on succession but I could barely keep up with your points because of the speed. Also sometimes more than one example could help to understand the point explained better. For example I didn’t understand your point on the depreciation of their IP making them money that well.

I can see Disney buying more IPs in the long run but surely it's not sustainable. Disney is becoming too bloated with too many subsidiaries and IPs under their management, it wouldn't be too far in the future that we'll have Marvel, DC, Hasbro and others multiverses crossover. This will not be a good trend for movies as the box office is already oversaturated with these genres. This is why Top Gun Maverick is still the highest grossing movie in post covid era.

This video is good, but it's let down by its ending. The Reedy Creek Improvement District (RCID) hasn't been dissolved. Florida tried to do that before reversing course once they realized how much debt would be inherited by the surrounding counties. Florida then passed a law removing all of the Disney-appointed members of the Board of Supervisors that run RCID, renaming RCID to the Central Florida Tourism Oversight District, and replaced the members of the Board with those appointed by Governor Desantis. The video failing to mention what came next is really a significant miss given it directly relates to how Disney and its in-house lawyers are so important to the company. Right before that law took effect replacing the members of the Board, RCID's Board with its Disney-appointed members held a publicly-noticed meeting that went unseen by Governor Desantis and his allies in the state legislature in which the Board approved a series of agreements with Disney effectively turning over most of the powers of RCID and its Board to Disney itself. Disney's lawyers carefully crafted these agreements to make them extremely difficult to do away with and so comprehensive that they virtually avoid the need for Disney to control RCID directly.

First I found out that McDonald's is actually a real estate firm and now this? Also I didn't know that patent depreciation was a thing in my accounting class and I had to take Advanced Accounting, which is specifically about Mergers & Acquisitions. So I know more about accounting when it comes to Mergers & Acquisitions than whatever that Hollywood Accounting did with depreciating patents.

Point in contention: if a IP does ~eventually~ lose its copyright protections it is “devaluing”. I get your point of it’s 100 years so writing off depreciation is scammy. But it’s kind of the same as buying a piece of equipment that will last 100 years the depreciation rate is just very drawn out. *in theory* I’m no tax accountant/lawyer

The Hollywood way of depreciating assets and designs makes sense for a large company like Disney(7:37). They could overinflate a character's worth and then depreciate his value over time.

Then again once Disney sells their IP's the companies can do a full sweep, fire all incompetent people and hire new talent, so it's not like the value of their IP's now will stay the way they are.

I'm not a fan of Kathleen Kennedy, and her decision and abilities as a producer and corporate director are bad. her eye for content is terrible. But the mountains of lawyers on the disney payroll and prioritizing lobbying, probably is not helping the creative products of disney be entertaining and could be why a lot of them have been flopping. How worth it is it to protect something for 100 years people hate or no body care about after the first year its out ?
