In doctrine of outdoor management it is assumed that the outsider has the knowledge about the powers of the company and the scope of its operation and if he undergoes beyond the power of the company then it is void and he cannot claim any benefit. But if the supplier has proper knowledge about moa and aoa and knows about the supply of a particular raw material that the company is not authorised to receive such raw material then why will a supplier supply those raw materials to the company? And even if the supplier supplies those raw materials to the company in the expectations of receiving payment for it, then why will the company accept that contract and accept those raw materials which the company itself knows that he is not authorised to receive those and make such contract with the supplier?
