Working in cybersecurity, thought about putting something that runs itself and she can handle as non engineer...How about a local store like Target? Can't use disc to hire in the states if you have 50+ employees. That's why he was careful to say it's used after. From experience, I can say it 100% predicted who we fired. Accounting firm, and if you weren't C learning, you didn't like the job.

Here's how to get around this issue with the boss. Don't EVER EVER tell your employer, or your co-workers, that you have a side business. What they don't know won't hurt you.

Are you operating in Canada or US? That makes a big difference because a Canadian is not eligible for an SBA now! I have been trying to buy a business in the US for 3 years now. No bank will entertain a loan form a canadian with a perfect credit score and 20% cash down with assets to cover the remaining 80%. Private lending???? Not really an option at those rates.

SBA is an American program. You don't have to be a citizen to use an SBA loan, but you do have to be a legal resident there.

People use it that way, however the macro shortcuts and buttons may not work like they do in Excel. (not serious)

Im a Business Broker here in New Zealand, and I find it interesting that, other than some terminology, you could be talking to a broker in NZ. The issues and challenges etc are virtually the same, although it appears that the actual process might differ a little.

Competitive industry but everyone needs a mattress! There are many niches in this industry, the discount mattress stores can have seasonal cash flow.

Anyone know the answer: If the Net Earnings are $85.942.34 then how does the owner pull out a $100,000 Owner's Salary? Where does it come from?

Net earnings is not cash flow either. Things like depreciation are not cash expenses. Also, cash collected in earlier periods could be taken out at owner's salary in later periods. It's why you need to be looking at balance sheets as well as income statements.

Great episode Dave! The one recommendation is to edit and adjust your audio, as the audio of the guest and your audio is like 3X different and when you both speak we have to be constantly be adjusting our volume on our end here because we either hear you guys too loud or too low

Depends on the offer format. A share purchase should include a target balance sheet or Net-position in working capital peg.

Was there a multiple applied to the SDE to determine a sale price? I saw a newer video where you referred to a 2.0-2.2 multiple, I thought it pertained to SDE but might be wrong.

David, sound advice as always. Another way to reach that end goal would be to start building business relationships and partnerships with the kind of businesses you intend to buy, and if after a couple of years, you have accumulated enough capital and built trust with them, the opportunity to buy them out may manifest naturally 😊.

David, could there be a situation where the SDE is below the owners salary, assuming the owner is trying to eliminate the shareholder loan before a sale?

Loan repayments are not an expense. They come out of the net income. Many times, SDE is lower than fair market value of a manager's wage. I see that often.

Very appropriate advice on this one David. With regards to how they make decisions, I would be very surprised if they had adjusting commodity pricing in already. Not to say it never happens, but they’d have to be pretty sharp at the level of revenue considered here. That along with flat revenue seems like you would want to ensure price matches the reality of earnings.

Additionally, she mentioned that the previous owner won a TV competition. That is potentially a small issue in itself, as a slice of the sales may be due to that person in particular. If there is a brand affiliation with that person, then if she changes the brand, she may see a hit.
