If you see deleted scenes there is this whole bit where Nr 2 tells Austin how much is in the suitcase, and Austin flips through some of the bills and tells him he is a few hundred short (can't remember the amount) and Nr 2 said that he spent some of the money to buy the suitcase, and they argue over that a bit before Dr Evil says he's had enough.

I think that Number 2 offered Austin a million dollars (in exchange for what, I don't know) but it was revealed that the money inside of the suitcase was a bit short but Number 2 explained that the remainder of the money was the value of the suitcase.
