there is one more concept to this called non convertible debentures . Here during maturity , companies will not be converting the borrowed fund to equity

CCD is not good for the company. Let's assume one scenario You started one pvt co. and ask ur friends (equal stake )to invest and that co. now after 3 to 5 yrs your company is now becoming profitable and forecasting says that i can become giant in coming yrs . U deliberately issue CCD and tell your friends that outsiders will subscribe it and u defraud your friends and subscribe to that CCD from market now u become shareholder with highest shareholding this way u can remove your friends from the company . This is one of the limitations we can say loophole of CCD
