Hi Melissa, great question. Because all shares are essentially the same it is hard to differentiate between them to identify which shares belongs to which shareholder. This is where the concept of distinctive numbers is introduced. A distinctive number is a unique number linked to a individual share to identify it. The first share is assigned number one and the next share is assigned number two and so it continues in a sequential order. The distinctive number remain with the share and it is recorded on in the company register and on the share certificates. A shareholder usually have more than one share and then the distinctive numbers are express as a range. For example, a distinctive share range from 31 to 50 will totalling 20 shares. If the shares are transferred or sold then the distinctive numbers are recorded in the company register and move with the transaction and will therefore appear on the new share certificate.

Hi Matjale, this is a great question. When any person passes away, their estate gets frozen, including all their bank accounts, until an Executor of the estate is appointed by the Court. The Executor now has the authority to act on be half of the deceased person, including resigning the deceased person as the director the company. The Executor is appointed according to the wishes in the deceased Last Will and Testament. If the deceased did not have a Will then the state appoints the Executor and this process can take months.

Hi there, to be a "member" of the board you must be registered as a director with CIPC. Therefore you can't have a member (who is NOT a director registered with CIPC) sitting on the board. Having said that you get two types of NPC's; one with members and one without members. In the case of the NPC with member they (the members) do have voting rights and can appoint and remove directors at the AGM according to the procedures set out in the MOI. Hi Michelle, If the director has passed away, you will need the court appointed Executor of his Estate to sign on the behalf the deceased in order to effect the resignation. Hi Thabiso, You can effect the changes simultaneously, meaning you can appoint a new director and resign one at the same time. You have to have a minimum of one director on the company at all times or CIPC will not process the change.

Hi Tersia, the director can resign before the AGM as long as there is least one remaining director. In other words you can't have no directors on the company. At the AGM the shareholders can appoint new directors and or vote to remove directors. Just a reminder that the effective date of the resignation is the date the directors sign a letter of resignation and not the CIPC processed date. I hope that helps you.
