Directors insurance with programs for compliance and officer due diligence known as D/O Insurance and attestation error and omission insurance liability have direct involvement with this methodology. Institutional investment in those insurance providers for D/O insurance are most likely involved with the U.S. legal code as, Reasonable Assurances, defined, For the purpose of paragraph (2) of this subsection, the terms “reasonable assurances” and “reasonable detail” mean such level of detail and degree of assurance as would satisfy prudent officials in the conduct of their own affairs. From, 15 U.S.C. 78m(b)(7). In my experience with litigation of the insurance with regulatory review the officer in charge of the record keeping depends on the industrial practice with each business process.

Academically, the business liability needs this advice for internal control (IC) skepticism. The more dynamic the business process requiring technical regulation and legal governance the more records are requirements. This video observes general methods for the IC assessments and survey suggestions for directors and officers to agree on program and project design for observation and review of documents and record management. According to other suggested materials and books by the Committee on Sponsoring Organizations for fraud deterrence and due diligence compliance I endorse Dr. Mike Clayton and recommend advice.
