No one is talking about where Jeremy says Crowder's agent sent the offer back and told them they aren't going to redline a bunch of stuff they just wanted the DW to start over with a completely new offer. If money was the only issue, why the heck would you talk about redlining terms and tell them to start over. You simply say, that's too low try again. That is proof to me they are lying.

That's what it boiled down to. All Jeremy had to do was keep his mouth shut, and he and Crowder could have worked any issues they had behind the scenes.

My question would be: If 25% of 50 million isnt that big of a deal, then why deduct it in the first place? If you think 12.5 mill is chump change that nobody should make a big deal about, then why not just let Crowder keep it? I mean, its just 12.5 million, right? No biggie. I love if when rich people make a ton of money sound insignificant, whilst at the same time throwing a bitch fit if they have to spend any of it.

I think Crowder and Jeremy _were_ friends, past tense, and aren't any more after Jeremy basically, from what it looks like to me, handed him a contract that basically read 'bend over and brace yourself' and Crowder isn't into that.

DW is really playing at the "friends" aspect. A friend would not have given him a preliminary "term sheet" like that. What strikes me is how DW is using the ad hominem tactic. That shows me exactly who they are.

You 'morons' keep mentioning Crowder having his own production team like it's a benefit. It's not. It's an inefficiency. He may be able to demand more because he is producing the video but the difference between that and what he would otherwise demand is not the cost of production. Imagine if you tried to sign a basketball player to the NBA and he said "but I'm going to hire my own trainer and coach and chef and take my own private jet, and you need to pay for all that, too". The benefit of DW is that they have so many staff that can do anything that needs to be done. Crowder is trying to act like a contractor when DW is a cohesive organization. The two models don't really mesh very well. Nick and Barnes briefly entertained this thought for a millisecond before quickly glossing over it.

On the members' show for Tim Pool, he discussed his deal with Daily Wire. Tim said he thinks his own deal with the Daily Wire was financially more generous on top of lacking the censorship clauses. So a friend of 10 years gets this bullshit and a relative newcomer gets a more reasonable but still lowballed offer. Although Tim said they never got to the term sheet, so those may have come in later

I remember Crowder joining the DW cast via satellite and they acted like a mean girl's clique to him. The awkwardness was palpable. Now they're saying they want to make him the Prom Queen....It smells like a set up and right before the next election! Many are saying it as $50 million per year. Nope. It is $50 million across 4 years, and 2 option years at $25 across that term. Thus, $12.5mil per year. And he bears ALL production costs within that. Not just a bad deal. An ACTUAL INSULT.

But that's not even the full picture. That price wouldn't have been horrible, IF crowder company got a share of profits over that 50 million. DW owned ALL profit that Crowder generated. Once DW recovered costs, a profit share would solve the money side of the equation.

@@snipegrzywa And they could paywall any prior videos, plus they got all merch profits--literally making him 100% beholden to them for income, AND putting him at their mercy if they should decide to deem him in breach of the contract for purely subjective reasons (see, e.g., the requirement that it be "of equal or higher quality"; if that's not a recipe for randomly being docked, I don't know what is).

One thing I think of is 12.5 Mil/year for 192 episodes is about 65k an episode....penalty per show for e=missing a show is 100k, 35k more than what they paid for or 19.2 M for a year. No consideration for any memberships (300k or more MugClub members @ $8-$14/month that Daily Wire charges joining), merchandise, etc, etc. It was a GREAT deal for DW but a really REALLY BAD deal for SC.

They absolutely tried to make it that way, they wanted ALL of that (most in perpetuity) as part of the terms and the contract makes it specific that the fee (the 50 million dollars) included the cost of DW getting the past library, merch, social media, and email list.

That's always been my big gripe. If the DW were such great friends to SC, why did they start off with bullshit terms? I get it, you need to negotiate, even with friends. Conservative estimates say MugClub had roughly 300,000 subs at 69 to 99 a year depending on individuals. Those people joined for Steven after his final time being demonitized, they didn't join to pay for Glenn Beck to spread cheeto dust on his face.

Being friends is beside the point when you are talking about millions of dollars. Despite the potential penalties Crowder would still be guaranteed millions and those penalties would be reset every 90 days depending on if revenues improved. Not sure what "funny hats" is supposed to refer to but DW has done a lot for the conservative movement. They clearly couldnt afford what Crowder wanted, and couldnt justify potential losses by guaranteeing Crowder the full amount even if Crowder lost revenue. They made the right choice to back off and not commit more money. Heck Jeremy even said people should still support Crowder despite all this...

Let's not forget if DW makes more than expected Crowder receives no additional payment. Yet if DW losses money, Crowder is significantly penalized. Jeremy conveniently leaves that out and there's the problem. Crowder takes ALL of the risk and DW, as the corporation, takes none.

The only way to actually monetize him is to put his content on the subscription page. But apparently this is too risky for them. So why made him an offer in the first place? You do noy offer to "buy" a bossiness that can sink yours. You try to by a bossiness that will grow yours. At this point I will start questioning their competency and ability to move forward.

@@v-2010 To your first point, they are beholden to big tach because they want to. If you build a subscriber service their goal is to grow it. They have mentioned several projects that should help them break out and be fully independent. So far they have show little progress in that regard. That beg to question if their negotiating tactics have something to do with it. To your second point, we might never find out what his real reasons are. I am not a mind reader and have no trust on people that act as they were. I do believe it is a service to all including the DW that their contract practices get exposed. It provide them a chance to improve their negotiating tactics and at the same time letting people know to avoid those clauses. I was hopping that after Prince had to change his name due to a bad contract people would wise up, sadly it is not the case. Also, you never start a new relationship with and insult. There is no scenario that would work. You might get compliance for a short time but will have to keep looking over your shoulder. Because relation will come, you just do not know when or how but you can be sure it will come. For the DW well it is already here and they can only blame themselves because they opened the door for it.

I watched both of Mark Dice's take on this and I think he's 100% wrong. He has said time and again that Crowder is just whining they only want to give him $50 million. He's neglecting the fact that this isn't a partnership, but an acquisition. Nick and Shad had the best takes on this contract.

It also didn't grant him any creative control as per the language. There was nothing about being free if editorial restraints within that clause or any of the surrounding clauses that would be used to clarify.

Loved this - as a litigator with some experience with contracts. Your point that 2 friends would negotiate in good faith, but DW has onerous terms and they want to see which will sneak through. How much are lawyers fees to haggle over this for how long…. An expense that will be substantial if no agreement is reached. Crowder made the point that new talents can’t do this. DW needs a new model if the company really wants to help the conservative movement. Jeremy is not a friend.

The penalty part didn't make much sense the way he phrased it. It was being described under the premise that the only money he brings in, is adds, youtube etc. when realistically their biggest chunk will be from subscribers.

Under Crowders model the biggest chunk would be from subscribers, even under the daily wire model I think it would be close, but man oh man do they pile on those live ad reads…. They make truckloads of money off of that stuff, but Crowder could never incorporate that into His show because it would fundamentally change who and what louder with Crowder is and he can’t do that.

That's being said Crowder's show only does one or two of them per show, where as the Daily Wire its feel like its every 5 to 10 minutes. If Crowder did that his show would suck.

Creators who are cognizant of “ we’ll get to what you came to hear….but first I have to sell you something” do much better in my opinion than Shapiro reading copy and repeating the name and URL three times like it’s a pre taped radio ad.

Idk why people don’t see that this was a no risk offer totally on the side of Daily Wire and that Crowder was the one taking all the risks. I think he has 20 employees. So, 12.5 million a year (this without figuring any hits) has to pay all production and for that 20 member staff. That alone makes it a bad deal. Everything else makes it worse than a bad deal.

One of the things Jeremy misrepresents here that people don’t talk about much is that Jeremy keeps saying Steven would be working 192 days a year. Completely untrue, especially with Steven being the one running production. There’s no way he gets all that done the same day as shooting an episode. So no, he’s not working 4 days a week, probably more like 6. And then Jeremy wants extra content on top of that. Steven also does comedy tours, appears on other shows, etc. I’d say he’s probably not getting a lot of rest there, and remember the heart issue he had. He probably needs to take it easier. It’s simply not true at all that under a contract like this Steven would only be working 192 days a year. Hence Steven talking about burn out in his video.

What your argument neglects to mention is that Steven Crowder could “call in sick” anytime he wants and not be penalized. The DW is in the business to make a profit (just like SC) and they are well within their rights to have safeguards built into the contract to protect their brand and business. Steven Crowder shot himself in the foot by taking this public and my guess is that he’s kicking himself for these actions. He looks like a fool.

Shapiro, Walsh, and Knowles all do 5 shows a week, so regardless of which days Crowder works on pre-production for the show, he's only doing that 80% as much. ALSO if Crowder thinks that he's doing too much pre-production.. then hire someone else to do it.... you know, like a grownup.

It's Crowder's money to do as he wants, but due to the agreement that he'd have to fund production out of pocket he's likely to spend that money on production. It's a key and very important distinction in this, as one is the DW paying to produce a show and the other is a man using the money he was paid to pay for production, as in its not DW's money.

Just gross revenue of the number of subs that everyone assumed Crowder has and would bring to DW would outpace that entire lump sum in about 14 months, and this is at the 40% discount rate. This doesn't factor in any of the ad revenue, monetization from Social Media pages or any other forms of revenue from P2P purchases (merch, events, etc). They're so generous. /s

I find it funny how people failed and still fail as of today to see how bad their offer was. "we pay you 50 million" over 4 years, yet not producing 192 episodes would lead up to 19.2M penalty + monthly penalty 3M, 1M for 4 quarters and 1M yearly. so 24.2M penalty for not producing, almost twice what they offered per year of12.5M/year. @@chrisastin184 so, you get paid 500$ an hour for example, but for every hour the company deems that you have not worked you owe the company 700$, on top of which, if we ever call you and you do not reply, whether you're taking the biggest shit of your life, having a conversation with someone already or if you're on your deathbed, doesn't matter the reason if you don't pick up you owe the company 10000$ "God forbid he would get penalized for doing litterally zero work for a year" ... If you don't work you lose the income, that is the biggest penalty you should normally face, but because you saw that 50M offer which is raw revenue, then you think it's 12.5M profit a year but that's not the case. Fact that in monetary penalties alone he could owe almost twice the 12.5M raw revenue per year and that initial offer was "made by a friend" well God forbid you must have an excellent friendship with that person so they wish to legally kill you with a contract. Know your shit and don't bring God in humans discussion next time. Faith won't save you from making utterly stupid decisions.

He never mentioned their name in his first video, not until Crowders second video did he name them, and that was after they outed themselves when DW went on the attack. They started the fight. Nor did their actions define them as friends, as they claimed. They are just trying to use it to shield themselves. There are more details to this in the interview on Timcast IRL that show this.

Jeremy doesn’t really understand business. The company itself takes the risk. If you are guaranteeing money you guarantee money. You don’t also dock pay. You don’t get to take money from employees if you don’t hit your numbers. You can’t take money from partners if you don’t hit your numbers though. Jeremy wants crowder to be a partner when they lose and an employee when they win. It’s either or

Tbh if you built your brand with DW it kind of is. Giving this to a Brett Cooper. Lets be real her million subs are not organic. Its hella unnatural for such a basic bitch show where she can't say or do anything too spicy. It just helps that she's not a dude in his mid 30s. Same with Candice who and I'll be honest completely 180'd out of a bad situation. She was one of the most despised people among liberalist/savvy internet conservative circles and she's somehow made everyone forget about that. No one at DW talks about that doxxing software she tried to peddle almost 6 years ago. No one talks about her interviews - one that is extremely infamous with Blaire White where she is incredibly nasty and unbearable and I'd argue even after that baby pops out which it surely has by now you'll still see less and less of her. Because DW was never ready for how toxic she was. They gave her the same shit deal as Crowder probably worse with the caveat that she gets to add her face to a mix of all white pundits and tv show hosts. Same with a Matt Walsh who they slowly seeped into the mix. I do think its a combination of hubris and control. The money is important to DW in so far that they retain as much of it as possible and considering Crowder's nature they know they'd get away with it. They also get to stifle a voice in the conservative movement that quite frankly I think they didn't like in the first place. Seems like it would be really easy for DW to find their own crowder. They don't want A Crowder. They don't want Crowder's spicy stuff - hell even I frown at his 'comedy' sometimes but I know some people (a lot of people) like it.

Not seeing a whole lot of this point: if Crowder is paying his own production costs, then why does DW have the right to own it after the term? Jeremy said, "...during the term when we produced it." But they're not producing jack for Crowder. I heard Crowder say something like they'd be paying a lease but owning the content and that's a crap offer.

Exactly!! If they had been friends, Crowder would have known how they operate a long time ago and he would have expected this- he didn't, he was blindsided. DW never considered him a friend because they literally just offered him a cage with bread and water. Now, I've never thought DW was fighting against the machine. Maybe on a good day, they might fight a little from within that machine, but they have ALWAYS played by the machine rules. I haven't watched them for at least 5yrs, when I started to see thru the doublespeak. DW not only shot themselves in the foot, they also blew the cover on EVERYBODY'S contracts! They are so far under water, they turned into fish.

I am so glad Rekieta made this common sense video about this. I canceled my DW subscription because I didn’t like the way the content was being out together, and by how many things I was still being asked to pay for. Then months later they went ahead and charged me the annual fee anyway and I had to fight to get my money back. I always watched louder with Crowder, and think he is much better off on his own, or teaming up with other creators that DW has tried to screw with insane “no risk” contracts like the one they tried to slide past SC. The trouble is they want to make the money from his work but not take any risk or pay for its production. Honestly if he has to pay for all the production and his employees etc that offer should have been Tripoli the size 150m over 4 years min and then it may have been a fair offer but still bad terms!

Lol most of the conservative sphere covering this are either staying neutral or siding with Crowder. Viva’s the only one with a take that’s even semi critical of Crowder and he got blasted by most of his audience over it by the rabid crowder fans. His own polls say most of his audience support crowder. His partner Barnes rides Crowder and excuses literally everything Crowder does as though he’s in lawyer mode, already working for a client. Let’s not pretend it’s so rare that someone is taking Crowder’s side. Finally!!!! Common sense breakdown, thanks! Crowder deserves enormous credit here. These DW guys are getting filthy rich on the backs of the real talent, and now, after Crowders big reveal, apparently it's all been at an enormous cost to US, the "unbeknownst us," and our entire movement! Every time they take money from folks for joining, it's clearly assumed that they're fighting ferociously behind the scenes, in areas like censorship etc, where we can't, and where it's needed most. I can't speak for anyone else, but I am personally extremely extremely grateful to Crowder for exposing something we'd most likely never have found out otherwise. We'll personally, probably, be okay financially for a little while, but not our kids and grandkids etc. Their lives will be hard. Many feel their kids are slowly being stolen from us -- psychologically, philosophically, gender, religion, all the character building -- gone. It all starts with censorship and that's what Crowder wanted to be his biggest takeaway. That, and the fact that it's virtual "theft" to take someone's hard-earned brand and have them give it all up in perpetuity. I mean....D_MN!!! It's a point Crowder wanted the kids to focus on before signing anything. And he did everyone a huge service (IMO).

"When you agree to a certain amount, that's all we are obligated to give you... even if you overperform or we can leverage more from your work than we thought, that's business. It isn't about performance, it's about what we agreed on... BUT, If you underperform, we will penalize you in every possible way. It isn't about the agreed amount when you aren't performing."

Seems like Crowder publicizing an insulting offer like this will have two effects: 1) Sends an unequivocal message to any other bidders that if they aren't going to make a serious offer that they should F.O. And 2) No other will be made by anyone unless Crowder first agrees to an NDA concerning the negotiations process. And if they do require an NDA, it indicates that they want to make an insulting offer.

Yeah pretty much, if you’re not willing to go on record with what you’re negotiating, you’re not negotiating in good faith. Obviously I’m not saying that negotiations should be public, obviously both sides want to keep that private but if one side wants to gag the other before they discuss terms, that’s a red flag. You agree to an NDA and you could wind up like Jon Gosselin….ie a gag order that prevents you from defending yourself when accused of all manner of crazy shit while your bat shit crazy ex wife takes all the money, the kids and leaves you with nothing but bills.

This term sheet is beyond predatory; it indicates to me DW prioritized long term earning potential over Crowder's short term earning and influence. The term sheet indicates to me, not only was this a bad faith negotiation, DW didn't want Crowder back. DW valued monetization and ad sales over content views of a single creator. In a vacuum, divorcing big con from this argument, DW wanted a viable business model going forward without feeling beholden to any creator. Unfortunately for DW, they didn't anticipate this negotiation going public.

It’s a calculated risk on Crowder’s part. He probably knows them well enough to know that they record everything. He probably learned to record calls from Ben Shapiro himself, but he also knows that they have come out condemning him for the recording and therefore can’t admit that they recorded it themselves without losing that leverage and looking like massive hypocrites. I’m always reminded of a traffic Cop I used to work with. The guy used to get subpoenaed to court all the time because angry Karens claimed he had said or done something, claimed he pulled them over because of their race or because he hates women or whatever right. He never once lost a case in court because he had a tape recorder (ya, he’s old like that ) in his shirt pocket and recorded every single citizen contact. The modern version of that is a body camera and it’s there to cover the officers butt and provide protection against false accusations. There’s nothing wrong with recording business calls and smart businessmen (and women) do it all the time. DW is just too invested in the emotional appeal that it’s somehow a betrayal to get bad vibes off the guy who handed you a bad contract and start covering your butt, to admit that they do the same thing.

He got that domain, because that was his project, completely independent of whether the daily wire decided to go to war with him or not. Second thing, he recorded that phone call as insurance in case the daily wire decided to be assholes and try to slander him. Crowder wasn’t recording Jeremy as a gotcha moment, that was an insurance policy that paid off in the end because the daily wire is the one that came after Steven Crowder.

This is wrong in two ways. First of all, you can make revenue on KZfaq even if you're demonitized by selling stuff during your videos. Nick does this. Steven does this. So, you are 100% wrong there. Secondly, the model that both DW AND Crowder apply is to use KZfaq views to direct consumers to their subscription service. So if you're not on KZfaq... Steven literally employs a lawyer to help himself stay on KZfaq. Then he complains about a contract which obligates himself to... stay on KZfaq (with the aid of DW attorneys). The entire complaint is nonsensical.

@@nealorr5086 Wrong, friend. The contract is about the KZfaq monetization, quite explicitly. The only words that matter in law are the ones written in the agreement. Sure, Steven can sell merch and Mug Club or do an ad read, but that's not the point. It's about punishing him if he goes away from what the big tech overlords will allow. America did not become a nation by saying, "Well, the king said we have to pay for the French-Indian war by raising taxes, so we just have to work in that system." What Daily Wire is doing is no different; punishing talent for other people abusing KZfaq's policy to change the rules and get them banned. Which has happened to Crowder no less than twice. We need the guys out here willing to sign their own death warrant to stand up and fight for what is right. After all, big tech is going to continue to pull the Overton window leftwards unless we physical stop them.

I know jack-all about law, but I could tell just by how DW was handling Crowder's position that they weren't acting the way an innocent party does; they were acting like a guilty party trying to cover their ass, divert attention/blame, and trying to poison the well of public opinion against Crowder. Sadly, in my eyes just by behavior alone and without enough expertise to understand the contract itself, DW basically proved Crowder's point without that being their intention.

With being able to take over crowders ip, create and own social media platforms in crowders name, and keeping in clauses that would let youtube and others platforms financially fuck over crowder like they have in the past, the "friend" part is strained already.
