Thanks Josh. Which would you consider a better structure in setting up a group of company and why: using one of the existing companies as the parent company or incorporating a new one entirely?

Amazing , question what about if you don’t want to loan the money from the holding co to the invest co. Is there a way where you can give the money tax free

Great video as always Joshua, so with a holding company can I have spv per BTL and have flip company too? I'd heard some lenders don't like to lend if companies have btl & flip SIC codes in same business, I'm keen to set up for BTL & flip but want ti get it right, thanks Carl

Hello, as your loaning the money from your holding company to your investment companies, do you not need to pay the holding company back?, as if I am investing into a property how would I then pay the holding company back… if the funds are used up to build a portfolio? Thankyou

Unclear if franked investment income is pre or post corporation tax? Phrases used in video are "dividend" and "tax free". Thought dividend was only after tax. Would be happy to discuss creating this group structure Josh.

It must cost a lot with the accountancy especially if you have companies that are not just property like myself I also have a digital company that I would want in a holding ltd. I don’t know...Hopefully Joshua can shed some light. Otherwise great topic 👏

Thanks Josh, love the content! I tried to do something similar to this, however when I went to get a BTL mortgage for my SPV under the group structure, the banks wouldn’t allow it as they wanted a director to be a guarantor, which couldn’t be a holding company? Have you ever experienced this?

You can still remain as a director and have the holding company as a shareholder only. There are a couple of lenders that do work with group structures and are competitive on rate.

Great video. So to set up the 'alphabet' structure, I guess you need to create several new Ltd co's (Holding Ltd, Trading Ltd, Investing Ltd and each SPV Ltd), each with their own Ltd co bank account and do each of those need their own book keeping/accountancy work or can all be done under the Holding Ltd co? I other words sounds great, but I can see high recurring maintenance costs in fee's.

Yes each company would need separate accounts and banks etc. For a holding company the annual fees are a lot less to reflect the few transactions that’s go through the accounts. Otherwise I would say get started with the holding company and then the trading company, only add the rest on when it makes commercial sense to do so.

I have a property development company. Now in a position to invest in BTL to build a property portfolio. Plan is Every 3rd renovation will be kept as a BTL. I assume that every 3rd property will need to be purchased in spv to obtain a mortgage at refinance stage as I will be using BRR? Or is there a way of buying and renovating within the development company then transferring property to spv to refinance, then move money back into development company once property is mortgaged. My thinking is I can claim materials etc in development company. Also flexibility of either selling or keeping as btl without impacting spv and trading activity if I need to sell for whatever reason. Also have you seen any problems with obtaining mortgages using the holding company structure with a spv and trading company. Assuming 2x same directors in all companies and 2x minority shareholders with no voting rights? Interested in this for tax efficiency especially the IHT and use of trusts and alphabet shares freezer shares etc. Is this an expensive set up and on going accountancy?

Joshua, great video. So I have a question of the following nature: I and my wife own sourcing business (ltd company) - 50/50 normal shares. I am about to create another ltd company for building services only, where I and another person will be directors. Can I create a Holding Company for both sourcing and building companies with me being the sole director of the holding company and a director in both sourcing and building company with each having a different second director as well? The idea is to split the income from sourcing and from the building company, but gain tax savings thanks to the Holding Company. Many thanks for your thought on this in advance.

As long as the dividends of the building company are flowing up to the holding company and the other director is happy with that then there should be no issue. The director of the building company, if he is also a shareholder of that company will also get dividends and as such shouldn't care where the money flows; as long s he gets remunerated.

4 mins 30 secs. The dividend movement is tax free but have you paid tax prior to to that via corporation tax? Will it go down as profit that was made ?

In the trade co there would be a corporation tax charge pre dividend.
