What if pvt company doesnt have audit committee? And what if both the directors of pvt co are interested so how will board resolution will be passed?

1. In case if company doesnt requires to formulate audit committee no need to obtain its approval

2. Interested director will not be counted for the purpise of quorum as per sec 174 and hence majority of quorem will constitute a valid board resulution and in case of equality of votes chairman will get cascading vote to break the tie.

IF Company have Audit Committee then approval of Audit Committee is required, otherwise not. Also for Private Company, the director is required to disclose his interest. then he can participate and VOTE. (Exemption for Private Company)
