I’m not a business surgeon, but I think Mattson one upped Ken and Roman. Roman made it clear they aren’t selling ATN, so Mattson made the price so high, that Roman and Ken will be forced to accept it. If they don’t, the board will undoubtedly vote them out.

Matsson did to Kendall and Roman what Kendall did in s.1 ep.1 to Vaulter by offering a deal so high that they have to take it to the Board, who will likely recommend it to the shareholders to vote to accept.

They are winning because they think they are losing. All 3 of the siblings will have PGM and loads of cash, and move it into the space ATN is leaving.

Yup totally agree. Hence Matsson's comment about wanting to see the brother's faces at the end. To him it's just about winning the game and feeling something by outmaneuvering his opponent because money doesn't mean anything to him anymore. He hit them with the emotional damage.

Yep. They can't refuse a deal like that. They have a responsibility to the shareholders and I think it would be illegal for them to out and out reject it with the board.

What's interesting about this episode is that the relationships between the sibs are fracturing, but not with the viciousness they had before. Nobody is doing anything to each other on purpose. They're all just gradually chasing little sub-agendas, keeping secrets, putting each other on a need-to-know basis.

It's VERY telling that on the plane Matsson calls Frank. Not Kendall, not Roman - he calls Frank. And, we soon learn the offer is now $192 a share, which is a lot of money, for a deal that includes ATN. The "old heads" think it's amazing, Kendall and Roman achieved a bump of five bucks a share over the offer Matsson gave them when they got there. Everybody is all smiles, except for Kendall and Roman. Matsson has basically bullied Roman and Kendall with money here, offering so much (and offering it directly to Frank to prevent them from maneuvering) that they don't have the option of passing. You may have heard of other large acquisitions that leave existing leadership no choice for the same reason - whether you want to do it or you don't for business reasons or mission reasons, the deal will make money for your shareholders, so you have to. You can be sued if you don't. Remember when Roman talked at Connor's wedding about stuffing Gerri's mouth with gold so she wouldn't complain about her firing? In a way, he's got a mouth full of it himself.

Matsson overpaid even after all his bullying and power moves. He might have a big win in store, but he's the loser today. All tough talk and he overpaid.

Shiv saw the writing on the wall - she was getting iced out by her brothers (or at least Kendall) and in 24 hours she flipped it all in her own favor - she pretended to drink/drug and told the in depth stuff about her and Tom to disarm Mattson and get him to start revealing stuff to her and then didn't freak out when he said it so now he thinks there's nothing to worry about - her political consultant career coming in very handy

I love her come back this ep. Unlike her brothers who couldn't even talk without getting emotional and interrupting each other she was calm and calculated. Also her comment about ATN being a toxic asset is very sensible since they only stand to lose value of it once the scandal comes out.

Roman's outburst was the thing that clinched it, but not because it was a smart business move. Matsson made an offer he knew would accelerate and seal the deal to spite Roman and Kendall and put them in a position that they couldn't maneuver out of because he knew they were trying to blow the deal up. I would say that was the primary motivation, not necessarily the conversation with Shiv (though I'm sure it played some role).

I mean tbh shiv didn’t really say anything to help it unless there’s something we didn’t see, all she said was “keep offering money” which I’m sure is something Mattson or anyone would know so by she basically said nothing to help

I’d say Shiv helped Tom Karolina & Gerri. Mattson has two head of Comms based on his proposal - he can’t fire Ebbea at the mo’ if the blood story is true.

I think Shiv should get the credit, because Ken and Roman were actively trying to kill the deal. While they might have won in the eyes of the company, they lost because this isn't what they wanted. But Madsen forced their hand by calling Frank directly and giving an offer they couldn't justify not taking.

Shiv definetly gets the credit for changing the kill list bc originally i highly suspect it was everyone but the sibs (greg said 8-9 names). That would've been all of the old guard + the other ppl), however at the end only 5 people are called (ray, i forgot his name, hugo, frank, karl), meaning her talking to lukas saved gerry, karolina, and tom. Lukas's decision was definitely because Roman lost his temper, even though he was totally in the right for calling out mattson's bullshit, it cost his and Kendall's cover in trying to blow up the deal. Its interesting because Roman knew the consequneces of doing that, and yet did it anyway because of everything bubbling inside of him since season 1 damn near and also cuz he knew there would be no consequences of standing up for himself unlike with logan who would retaliate verbally or physically. He actually chose morals over business which shows hes come a long way

I mean Shiv really was useless the board wanted the deal Matheson wanted the deal. Matheson went around these 2 and now the deal is more likely cause he upped his offer. Shiv has 0 say cause she's still not in any position of power in the business although she does have information that could destory the deal if it comes out before.

@@jimmylee9120 That's true, I mean all 3 kids are not as important as they think they are. It really is the Board's decision so Ken and Rom trying to sabotage the deal was a bit silly on their part. In a way Shiv pointed out the obvious route to Matteson (just say a higher number) and Rom's outburst (even thought I enjoyed it) just ensured Matteson to follow that plan.

I think it was both Shiv and Roman. Shiv gave the bump idea, and Roman pissed him off enough to actually do the bump just to spite him for trying to tank the deal and calling him out on being inhuman even compared to the Roy’s But ultimately, Kendall is quietly observing and plotting, the most like his father of any of them in the end. Roman says whatever he wants, like Logan, Shiv likes power, like Logan, but Kendall hides what he’s thinking and plans, which is the most useful trait to take from Logan

I think it was both Shiv and Roman that got the deal done. Shiv was the more calm back room working and Roman basically telling him to F off were all moves Logan would have done.

She wants to sell, she doesn't give a shit about Matsson, he has nothing on her he was feeling her out. He also brought up her marriage, he is looking for weaknesses and she reacted more to talk about Tom. I don't think she pulled for Tom to be off the kill list, it's a response to her telling him not to fire Ebba.

Greg is trying to distance himself with Tom. Greg stood up for himself in front of Matsson and actually tried to answer the question with an article. Also obviously he tried join the Roy siblings by making himself useful and in the end Kendall got him to take a job on with leaking the info about the overall meeting.

I think Mattson knows at the end of the day, Kendall especially cares about being someone and doing something. The main weakness of the kids, is that they aren’t anything, they inherited everything and they think it makes them wise, but their just children. At least Shiv knows politics so she can read through Kendall’s tactics. In a way that’s what makes Connor the smartest of them all. He doesn’t pretend to be anything other than a rich kid. Well, at least when it comes to business, he’s insane running for president. But at least he knows in Logan’s world, Logan is the business genius, and he’s the son. I don’t think Mattson cares how much money he spends, he wants the stuff he’s buying, but he also knows that even though Roman and Kendall getting that bump makes them even more super rich, that by giving up ATN they have nothing they really own and that they can run. They’re just two rich kids that have made nothing with their lives they can call their own, with no real purpose other than being rich. And their identity was wrapped up in their fathers relationship with them but now he’s dead and they both have no real relationships that don’t involve people going after their cash. I love this show!

Honestly Roman blowing up was a loooong time coming!!! He’s always tried to take everything on with a Joke but I think since the S3 finale when Logan betrayed them he’s been slipping and letting things pile up inside. So I knew this was coming, also with Kendall I think he feels he has to lie to Shiv especially because of her reaction to his name on the piece of paper, it sorta proved to him that no matter how much they claim to love each other and want to work together, they ultimately cannot trust each other. Also with Shiv, I think she feels like history is going to repeat itself with how her Dad ignored her for so long and now she feels her brothers will too so she has to sneak around them to get some power, but the problem is that Matsson to me is unreliable, and very unhinged because that story with Ebba was fucking wild, I think she may have bit off more than she can chew with teaming with him, and I do feel like it will blow up in her face. Also people keep saying that the boys failed while talking to Matsson but I don’t think they necessarily did, for the FIRST time they made Matsson emotional, they got him angry and instead of him joking around and watching them squirm, THIS time they made him bend to their level, it was funny because while he was getting riled up at the lunch table, Kendall was very calm, also he ended up having to go to Shiv for help afterward because he knew they weren’t budging.

I think Ken likes the idea and optics of being the big boss , but he is not the lead guy at his core. He is surface level CEO, he knows the lingo, likes the gambling part due to his addict nature, but doesn't fully understand what the bet is about.

Love your reactions! Shiv went from side-lined to top of the tree this week. She got to use her skills of advising politicians, so egos, powerful men and scandal are what she's good at. Matsson didn't get in her head like he did her brothers and I'm fascinated what else they spoke about. I saw her as being personal with Matsson to be honest with him, to get his trust a bit. I thought it was just a tactic. It was definitely whiskey, but if you watch closely, she doesn't actually drink it. She raises it to her lips, but doesn't drink, the same on the plane with the champagne. Also, the kill list saved the people Shiv backed (Karolina and Gerri) to Matsson and also Tom, so I bet Shiv played a role in that too. Kendall keen to cut shiv out put him back on my blacklist, while Roman was wanting to keep his word. Also, I did wonder if Gerri was already in the loop with Shiv, as they exchanged a couple of looks. As for Greg, Greg played it smart in my opinion, as he knows siding with Tom isn't his best route now, so he grovels to the family and gets back in a little. Plus he was partying to get in the good side of the Go-Jo team.

If you pay close attention to the episode, Shiv's reasons for "going behind her brother's backs" is justified & makes sense. Despite promising that they would be equal, there's already small fractures in that promise; Kendall going behind Roman's wishes to trash their dad, Kendall & Roman's body language at Waystar is subtle but excluding Shiv, Kendall & Roman deciding to do bad press to tank the deal. There's never been a true "trio", the siblings have been keepings secrets since the beginning. I don't blame Shiv for working her way into Matsson's graces to get what she wants -- keeping Karolina, Gerri, (Tom maybe ?) & getting rid of ATN.

Kendall and Roman were totally trying to tank the deal, Roman tried to play it off like a negotiating tactic, but Matsson saw thru their bullshit. Roman just snapped on top of that mountain with emotion like MC said. That's why Kendall and Roman looked dejected on the plane and Matsson knew that so asked for Shiv to send him a pic of them.When Matsson says Logan would be “embarrassed.” Roman loses his cool. I think he's been struggling for days and just saw his father's body. As Matsson relieves himself literally, Roman does the same mentally. He brings up before when Matsson asked him when Logan would die.

another "reacter" is hypothesizing that Gerri is playing back-door footsy with Mattson, and they had a lot of evidence, going back several episodes. 1) Gerri was not on the "kill list.", and she didn't seem surprised. 2) Gerri was much more copacetic about the whole meeting, as if she knew the result in advance. "we were raised by wolves." 3) Logan had previously been suspicious of Gerri being too close to Mattson. There were other pieces of subtle evidence that i can't recall.

I think Mattson's upping the offer was an end run around the kids in general. He doesn't respect any of them and knew if he went to Frank, Frank would take the offer to the board and the deal would be done. He wants it done now and is tired of Roman, Kendall and Shiv playing games they don't know how to play.

I don’t think they’re out of their league, I think Madson is overconfident, and once they stop fearing him, he’ll be easy to manipulate. All Shiv had to say to manipulate him was “stop sending people blood,” he’s not a complicated man, he’s just rich and has a high opinion of himself

Interesting take. I did wonder about it, but more from a perspective of is Matsson just lacking (and in a way looking for) basic human connection ? Was Shiv sharing something personal (her marriage problems) really all it took to make Matsson open up or was it just next level manipulation on his part?

@@user-dx2dm8oq8g The minute he told Shiv "you remind me of your father" was the moment I knew he was playing her. She's nothing like her father, he wants her to feel safe with him. The Ebba story was probably a lie too because now Shiv thinks she has the upper hand, which is the best way to make someone feel safe.

They’re all rich, I don’t think anyone’s depending on it, but I do think Madson is so bad he makes even the Roy’s look like decent people, which of course they aren’t, but they look human compared to him. He also said the “like your dad” about Shiv taking a joke, but if Logan heard he sent people his blood, Logan would wipe the floor with him. They’re both manipulating each other. She needs validation from people she feels superior to for control, and he gives her that control, but he’s also turning her further against her brothers. Kendal deserves it but Roman has been trying to honor her

I’m both proud and disappointed in the siblings this episode. Roman finally punching back but showing the cards too early, Kendall not stuttering and not being phased by insults or getting over emotional but not reigning in Roman, shiv for her people skills and maneuvering but being a rat and not sharing blackmail material on Mattson.

One reason why that opening scene was brilliant: Jay-Z's song samples the Doors "Five to One," which foreshadows Ken, Shiv, Roman, Greg, and Tom all interacting with Matsson throughout the episode.

roman’s breakdown wasn’t planned but it was the reason why mattson overpayed to spite them because they didn’t want the deal anymore. that’s why he called frank with the new offer. roman and kendall would sound crazy if they turned it down. that’s why they looked miserable and why he asked for a picture of their faces.

I don't know if either Shiv or Roman influenced the conclusion of the episode, but Mattson only quoted a number and knows that the decision ultimately belongs to the board and the shareholders, one of whom is Logan's brother Ewen. There's still Logan's funeral and judging from the weddings we've seen, some major shit is going to drop. Five more weeks, and anything can happen.

it was Shiv's era baybieeeee... she was the one that formed the plan in Mattson's head about the kill list, keeping my girls Gerri and Jess safe!! I also completely think she set Tom aside only because she wants to destroy him personally later... She knows Mattson's a strange obsessive man and is now hyperfocused on her and she's going to use that to her full advantage. Roman poor boy is very easily swayed but sadly Kendall looks a damn fool after this episode, all over confidence and talk but nothing to back it up with!

1st- I think it's hilarious that Fikret is back listening to Kendall rap on the morning drive. 2nd- I honestly am kinda lost on where they are going with Shiv, Mattson and the deal. It seems like they talked more off screen because she was making decisions for ATN and it feels like she helped Gerri and Karolina keep their jobs.

regarding your 2nd point, during her one on one with Mattson, she praises both Gerri and Karolina essentially vouching for them to keep their jobs. She didn't make any decisions for ATN but she thinks shes the reason the price got bumped up.

@Shahria Chowdhury True. I did catch that in their conversation, but I wasn't sure if that was enough. In the end, when she was talking to Tom, she was telling him to fire Sid. I guess the deal isn't done so she was doing that with her current power at Waystar, but I wasn't sure if Mattson and her were working together on something more.

Also this proves that Kendall and Shiv were right in episode 2 and Logan and Roman were wrong, Matsson isn’t walking when they ask for more money, I mean Roman flat out told him they were gonna keep bullshitting him and he’s still offering and going higher and higher, I think he needs this just as much as they do, and that gives them leverage.

Why do I get the feeling that Kendall is making a play? The episode opens up with Kendall. It seems like he's constantly thinking about something, and is even distracted. This is more than usual. They just buried their father, but I wonder if he's been making plans around his siblings and the board with Mattson. The deal was already made, and ATN was to be cut out, but Mattson all of a sudden has a change of heart and wants the whole thing? He called it old legacy media and didn't want it through the 3rd season. It makes sense when you realize that Mattson somehow knew the perfect way to manipulate not only the board, but also each of the siblings.

Kendall and Roman are driven by sentiment, and the effed up lack of realitionship they had with Logan. Shiv is the smartest of them, and more business savvy. Mattson understands this. Also that it this means she is more liable and real. And relatable to the scandinavian way, less bullshit.

The staff has its own worries. Karl and Frank seem ready to take their money and retire. Hugo and Karolina don't want to lose their jobs. So even though all these folks are consulting on the same central question, which is the sale of their huge company to another huge company, they're all worrying about different things. The only thing we can say for sure is that whatever the consequences of this decision are for the billions of people it directly and indirectly affects, nobody cares about them.

I don't think she was parttaking, definitely not the drugs part. I'm not sure I'm liking this whole preggo storyline for Shiv. I mean what's the end goal here ? Will this be a reason for her reconciliation with Tom ? Is it just to make Shiv vulnerable ?

I agree with Syntell. It's not as if Logan never put his emotions in when it came to business deals. Dude got mad and threw tantrums all of the time. I do think Roman and Shiv embodied Logan enough to get the man's respect.

i think 2 things can be true, i think mattson is a card trick and doesn't understand U.S news and that market but also i think kendall is in over his head. he was def right saying logan would do whatever he wanted tho it's not best to lean on him and i think kendall is trying to not do that even if it means tanking such an important deal. also peep the pills roman apparently takes considering he took it out of his bag, shiv drinking, and surprisingly kendall not doing either and being laser focused on some sort of plan he has going on for him... also shiv's advice wasn't rlly what got the deal, everyone knows that if u offer more money you have to sell, but i do think her friendship/acquaintance/relationship with him helped. he knows how the roy siblings work, it's probably good he has one on his side now and will probably fuck over shiv in the future unfortunately, roman however was probably the main motivator behind hte bump, he got matt annoyed and vented to him, matt wants to fuck roman over now, and the only way to do it would be to stuff his mouth with so much money he can't say no. same thing kendall did with vaulter in s1ep 1...which btw is clever cause they also started this episode mirrorinbg the beginning of s1 where kendall was trying to buy another company(being the mattson but failing)

This episode perfectly validates what I’ve thought the whole series the three of them should be the combined head Roman and Kendal do a good job working the numbers but are completely out of their depth negotiating with a guy like Mattson but shib does exactly that fine but doesn’t know the numbers side they all work well together but they can never keep their egos in check

The whole point of conflict in this deal is that Matsson wants to include ATN in his deal. And each person has different feelings on that new demand. Roman, while he doesn't need ATN, cares about hanging onto his father's "pride and joy," and about concluding the mission Logan was on when he died. Shiv is entirely happy to dump ATN, which she claims she doesn't like anyway. It feels like Roman wants to represent the actual Logan and his desires and behaviors, while Kendall wants to (or thinks he wants to) be like Logan - but be better at it. So Roman wants whatever Logan wanted, while Kendall cares what he thinks Logan should have wanted.

Icl I’m so annoyed that the one thing kendall and Roman were meant to do, they’re messing it up for emotional reasons (or ego for Kendall) I rlly want shiv to come out on top but unfortunately I feel like it’ll be Tom that ends up winning in the end

The whole thing with buying peirce is they would be on their own and running a business by themselves without their father now Roman and Kendall have this huge company that they both wanted from episode 1. So it makes sense they would want to stay in charge. I hope Shiv doesn't end up on top she has no business experience and thinks she is so smart when she really isn't

Matsson made the deal impossible to turn down when he saw how much Roman didn’t want to sell the last link to his Dad. It was basically I’m rich enough to do whatever I want so F you Roman. I think Matsson might have invented the crazy blood story so Shiv mistakenly thinks she’s got power over him to get her onside. I also think if Shiv’s started drinking again (and doing coke?) she may not be keeping the baby. She’s turning into Logan and a baby isn’t in her agenda. I’m team Roman because he seems the most human, but I think Shiv might end up in control.If that happens poor Ken will be broken. Well, I guess they’re all broken. Love this show!

What shiv told madson about upping the offer wasn’t rocket science. That’s not what made the deal. Madson would have done that regardless. What shiv did do was get manipulated into thinking she’s part of the madson in-crowd. He saw a fracture there and he’s taking advantage of it. He gave her her “wins” with the kill list and made her feel important. Hardly doubt this results with shiv wining in any sense

This deal isn't done, its not gonna be that easy. Mattson is coming for ATN because Logan is gone, bullying them. I don't think they are as green as everyone thinks, especially not Ken. They don't have to be like Logan, thats his style, there are other ways to play this game. Let's see what happens

I don’t think it was Shiv at all. It was Mattson wanting to be the top dog and Roman losing it combined. The advice „you will get the deal with more money” is useless, being so obvious. I think Shiv gets credit for the kill list, but not for negotiation. Unless sth happened off-screen, her lack of surprise when he asks for the picture indicates it. She didn’t know they wanted to kill the deal, although she might have guessed. As to what you’ve missed: if you put subtitles on, you get the translation, too, so you could read that Matson was commenting on Greg as „6ft9 inbred Habsburg giant” 😂

She’s the most like her dad personality wise. Kendall has the dad’s business mind. Shiv has his personality (which is why she was easily able to talk her way into the deal she wanted). and roman is the wild card factor that the dad had.

out of all the siblings shiv is the most like logan. yes she is green but she’s learning and adapting very fast. while her brothers are still trying to be like their father and acting out what they think he would do, shiv is already making her decisions and moves based on her own. they need to be killers, not imposters.

Because he can get it and break it down for parts or flip it, and he also knows the boys want to hold on to it so they can run something. They need a project to feel like they have meaning and are good at something. By Mattson wanting everything, the boys are just two rich kids with nothing but money in their lives.
