Costa Rica Company Filing Requirements for 2022

If you have a Costa Rican company you will have noticed that there are increasing legal obligations imposed by the government to keep your company current and legal. In this video let’s look at your obligations for 2022 so that you can avoid any penalties for failing to comply.
We will cover the following obligations for 2022.
1. Annual Company Tax
In the month of January, the annual company tax known as Impuesto a las Personas Juridicas must be paid to the Ministry of the Treasury. The deadline for payment is January 31.
2. Income Tax Return D-101
Is your company active or inactive? All active companies must file an income tax return D-101. All inactive companies will have to file a simplified D-101 This is new for inactive companies in 2022 and is due by June 15th.
3. The Mandatory Declaration of Beneficial Owners and Shareholders
All companies registered in Costa Rica, Trusts and Foreign subsidiaries registered in Costa Rica must file this form on an annual basis. This form is filed with the Central Bank of Costa Rica. The deadline for 2022 is April 30th.
4. The Education and Culture Stamp Tax (Timbre de Educacion y Cultura)
Obligation to Register and Update Company data at the Tax Department. It is the obligation of every company in Costa Rica to be registered with the Ministry of the Treasury.

Thanks Roger. Invaluable clear information for Foreign owners of CR Property and Companies! One thing that is still unknown to us: Can a non-resident foreigner, owning an inactive Cost Rican Corporation, actually get a "NITE" (Special Tax Identification Number) ?. And if so ...how and where? This is the crux of the situation that would allow foreigners to take responsibility for their own filing responsibilities. And also to check up on their accountants to ensure filings are up to date. Your website is fantastic. Thanks again!

That is a good point about getting a NITE. It can be applied for in person at any of the regional tax offices which I have indicated below. You can also grant a Power of Attorney to a local accountant (or any person you want) to do the NITE registration for you. Generally, all online registration is done via ATV (online Virtual Tax) platform. However, it does not allow foreign passports. To get a NITE with a foreign passport the tax department also has an online registration system called TRAVI (Taramite Virtual). According to their website it is possible to register for a NITE on that site. I have not used it nor am I very familiar with it but here is the link. tramitevirtual.hacienda.go.cr/registro-de-usuario/ I have reached out to some accountants to comment on that platform and will update as I get more information. Great information as always! A question has come up with two different attorneys that I deal with as to the transparency report. Not being a CR resident I executed a special power of attorney to have the attorney file the report. One attorney claims a NEW power of attorney must be executed in 2022 to file the report (apparently it must be uploaded to the government) as last years POA in now been "voided" from the system by the government. The other says the previously execute POA can simply be re-upload to file the report. Nothing has changed with the corporations or ownership. Both seem firm in their positions. It seems odd that a POA would have to be executed each year to have the attorney file the report. Any clue as to the reality since this requirement will cause a lot of trouble for folks not in the country. Thanks again.... always great videos and content!!!

Hi and thank you for your question. That is correct. The government went into the database and erased all existing Powers of Attorney. If the Power of Attorney did not limit itself to filing for a specific year and was open then the Notary (Attorney) that issued the Power of Attorney could in theory issue a second testimony of the Power of Attorney and upload it to the system. The Central Bank provides no guidance or opinion on that so it will depend on the personal opinion of the Notary (Attorney) that you are using as to how they want to handle it.

@@CostaRicaLaw Thanks for the reply. Your explanation makes perfect sense. I guess the issue was the interpretation the attorney had as to how the guidelines were to be followed and if the existing POA was durable in nature or specific to one filing for one year.

Is this tax requirement required for incorporated land that is not built on?

This is for companies formed in Costa Rica or foreign companies registered in Costa Rica. The type of land they own does not make any difference. Compliance is mandatory regardless of the type of asset that the company owns (raw land, built land, cars, inventory, etc..)

I have an inactive Ltda. Am I understanding correctly, my corporation can be automatically administratively closed, and I can save on corporate tax, accountant fees and attorney fees annually. There has to be a catch, will a transfer fee be imposed?

Hi and thank you for the question. If you no longer want your company and it has no assets then letting it get dissolved administratively is an option. However, these are some considerations to take into account: When a company is delinquent in the payment of the annual company tax the National Registry places a hold on the company so that you cannot obtain certificates of company standing, certifications for the company and you cannot register any documents in the National Registry related to the company. If the company owns any assets such as property or a vehicle then the Registry will put a preferential lien on that property for the outstanding amount due for the tax. Finally, once the company is dissolved the law allows the tax department to “continue collection action against the last shareholders of record of the company”. Since they have been collecting shareholder names with the mandatory shareholder beneficial owner filings, they now have that information to collect against the shareholder. To date I have not heard of any cases in that regard but that does not mean they will not do it in the future. If somebody does not want to have a company any more it might be better to consider doing a voluntary dissolution which terminates the company but with all liabilities paid through the date of dissolution
