The plaintiff says she owned two clothing stores and the defendant bought one. She alleges the defendant stopped making payments, so she’s suing. The defendant says the plaintiff promised to mentor her, and she never did a thing to help her. She’s countersuing for breach of contract.

My entire career was retail and I want to say the defendant is extremely naive to think she could figure out how to run a retail store in a year. Or even 5 years. It’s hard. You have to continually hire and develop staff, watch the turn on your purchases and be prepared to mark down what’s not selling and try to reorder what is selling well, and always be prepping for two seasons out. Always keep an eye on your payroll, that will be your biggest expense. First thing the defendant should fire Stacey. She isn’t helping the situation.

@@globe2555 I dont think there was a friendship. Plaintiff was helping out how to use the cash register, etc etc. Nothing thats going to affect the Plaintiffs other stores. Defendant should have rented and test the waters. Defendant thought everything was going to be roses until she owned it and find out roses have thorns.

When you buy a business, you should know everything about running that business before purchasing it. Marketing, merchandise and labor costs are a huge part of that. You don't just open the door and expect customers to waltz in. When the defendant said she 'trusted' the plaintiff, it showed her inexperience. You trust no one in business, especially a potential competitor.

I am not sure how close the plaintiffs boutiques are. Defendant should have had a clause that will not allow Plaintiff to open up a store within a certain amount of miles. Back round check is a mandatory check. Defendant enjoyed traveling with Plaintiff than knowing how to operate her store. I knew Plaintiff was going to send e-mails to her customers informing them of the plaintiffs new store.

Not true. We've bought 12 profitable, cashflowing businesses in the last year. You shouldn't buy it if you are expected to run it. We only buy 3+ years old, and Financials are great. She bought a mom & pop which we would never buy

I believe the plaintiff when she said that the defendant was perfectly satisfied with their business relationship until Stacy got involved. The defendant’s business is probably failing and it looks like Stacy has convinced her that it’s all the plaintiff’s fault.

failing businesses sell for pennies on the dollar, discourage defendant, bad mouth plaintiff, defendant gives up and offers to sell to Stacy, being the great friend she is, and bam, Stacy has her own business for next to nothing, and the store recovers and starts making profits.

Exactly, If you're paying 70k for a business, she should have done her background work : so she knew exactly what she was dealing with , and also there should have been a lawyer involved so everything would be clearly understood on a legal and practical basis 🙂

I have a dream to go into space. It doesn't mean I'll pursue it by learning how to be an astronaut. But if an opportunity would arise for me to do so, I'd still grab it. I'm sure that both of you, as well as every single human being on this earth has dreams that they don't want to pursue but would still grab the opportunity - especailly if it would present itself as easily obtainable.

@@Alesana907 astronomy, not astrology... And no, learning about astronomy while the wish is going to space is the same as learning about clothes brands while wanting to run a clothing store. You learn about some things, which might be somehow related but far from essential. It's fine if you don't get it. Just try to understand, that there are many people who live differently than you and that doesn't mean that neither you or them are scatchy. It simply means that we are all different and most definitelly flawed in our own unique ways.

The “proof” was likely in favor of the plaintiff. I have emails from 2002 so there’s no way she just lost last years emails on accident.

Her dream turned into a nightmare because she has no prior business knowledge or of the clothing business. Maybe work at a store for 5 years and work into management, then make it your dream to own a store. How did she manage to keep the store going for 10 months?

Yup. Such BS. I have a certificate in Life Coaching . I mentored under a doctor (in a field I specialize in)for a year, have been building my business for over a decade. Some young inexperienced member of my family, got an online certificate and decided she wanted to be a LC (Never even been to therapy or had her own LC), she charges 3X what I do bc in her mind all she needed was that certificate (Not actual applicable experience). Point being is many many people have no idea how hard it is to actually own your own business and be long term successful. Finding the sweet spot on how much to charge, insurance, taxes, marketing etc. I feel they are too stupid to even be embraced. Also my family member went back to her old job after a month bc no one would buy her coaching packages.

As ate-up as some of these arguments from both sides came across (to me), I was totally eating up the plaintiff's remarks at the end regarding Stacy. "I think Stacy always wanted to be a store owner." That comment should have been beaten into the defendant's head until it worked it's way to the center of her head (brain-if applicable). That made so much sense, it really hurt me for the defendant. I wonder if Stacy is a store owner yet?????

They said they don't want the names of the boutique to be on national television but the defendant said it was because of the name change of her store, customers, creditors and vendors didn't like the name change so they don't shop there anymore, credit won't be extended and merchandise won't be left there without 100% deposit. Welp, how can we be the judge of that if we don't know the name of the boutique? 🧐🤔 To the defendant: if you are reading this: Fire Stacey.

I thought she was saying that she was having trouble with creditors and venders because the name of the store was associated with the plaintiff who apparently had credit issues and all that and she wanted to change the name to something different. Cause when she complained about that, the judge asked her why she just didn't change the name and defendant said she eventually did or was going to. I could be wrong. I didn't go back to watch it and make sure lol

It is obvious, once she sold her business, that same business became her competition. I believe she was pushing off merchandise she did not want. I also suspect, if the defendant would have had a CPA evaluate the value of business, one would fine the purchase price was to much.

@@BellowAveragePlayer I don’t think it’s all that absurd. The plaintiff stated she’s a businesswoman and sometimes that’s how business is done. She probably gave her out-of-season merchandise knowing it wouldn’t sell, and kept whatever merchandise was in season so clients kept coming to her business and not the defendants. She sold a business (made a profit) and simultaneously advanced her other business. It is smart, not gonna lie lol

Sounds like Stacy had problems working during the day period. Claimed it was her husband that wanted her to stop working, lied about that. Then decided to work for the competition. Happens all the time.

Stacy needs to go. She’s nothing but drama and she lives for it. The defendant should have never bought a business she was clueless about. Honestly feel like the plaintiff could have held her hand the entire way and she still would have claimed she didn’t help her enough. Just pay the money you owe and stop with the drama. Just wait til Stacy turns on you and see how you like it.

Absolutely! Defendant thought she was buying a pretty new toy that was just going to run itself and be magically successful. It's not the plaintiff's fault that she has zero business acumen. That's all on her. How do you buy a retail business when you've never even worked in retail?!? Totally clueless. And yes - she needs to get rid of Stacy who is totally torpedoing her business.

stacy has a gripe and a vandetta thing against the plaintiff, and MAN is she standing close to defendant at the exit interview, until defendant steps aside. Stacy's the problem and is a piece of work. Maybe she's whispering in defendant ear to gain her trust, only to turn around and find a way to get that shop for herself, without having to pay for it.

I've managed people like Stacy. They think they are everyone's friend but they just stir up trouble all the time. I had to fire this guy who was stealing and my Stacy twisted the story so bad that people blamed me because he had a kid. It was ridiculous. People like that are poisonous to a business.

"You've asked us not to mention" (The name of her boutique) Which the witness for the defendant mentions anyway! 🤨 Clearly the defendant hadn't a clue what she was getting herself into. She had no concept of retail, if she didn't know going into the shop in August, meant she needed to get her fall merchandise on the racks asap. The plaintiff sold the business, but then treated it like the competition, which is why she had issues with Stacy, and then wouldn't mentor the defendant.

bored housewife has hubby buy her a store. Of course, she knows nothing about being an owner or anything about the industry....doesn't bother to learn, listen to Miss Machiavelli there, who I would bet is a trouble maker in both businesses..... Gee, what could go wrong?

The plaintiff was prepared. She shouldn’t have to hold the new owners hand. You want to own a business, RESEARCH before making the investment! Laura had EVERY right to be pissed about her employee moonlighting and leaving her short staffed. STACY OWNS NOTHING, and sounds like the one egging the new owner on to not pay! The judge got it right here!

"Now that I've owned the store for a year, now I know what is supposed to be in the store in September!" Did the defendant not know that September would have fall merchandise?? Even I as a mere consumer with no interest in retail business know that you sell autumn merch in Sept and start bringing in winter inventory. Has the defendant NEVER gone shopping???

The defendant knows nothing about running a business to begin with, no idea of merchandising, marketing, or even basic accounting. She should’ve worked a deal with the plaintiff to start as a partnership, get the training needed as a manager first, and then eventually buy out the one store she wanted to purchase after things were running smoothly

I agree with that ruling & said it before the case started. you can't define "help" into anything & the other stuff doesn't effect the fact that a contract was signed saying 12 months of payment.

The first thing the defendant cried about was a customer list and they didn't continue to buy from her. The plaintiff can not force people to continue to shop at store she sold. Why wouldn't she have emails atleast? The defendant will close her store bc she can't do anything on her own.
