Excellent explanation. Being a CA Vodafone case is a benchmark case which led to formulation of many laws relating to MNC. But I would add a few things. 1. Retrospectively changing law is a very routine practice of all governments all around the world. It might sound unfair but is necessary in areas where there was no law earlier. 2. In the Vodafone supreme court case(2012) many people including retired judges have alleged that huge corruption was done by Vodafone to ensure the case in their favour. Analysis of many judges said that the judgement lacked merit which was one of prime reasons why retrospective amendment in law was brought in. 3. Being a CA, I can tell you "In substance" Vodafone should pay tax in India, MNCs have been using Tax Heavens to dodge out taxes since decades now. People need to realise if a company who earns profit from India doesn't pays taxes here at the end we have to bear their share of tax too. It was just that the nature of transaction was so different and new that government never had any law for it.

Retrospective tax law is an Indian invention and worse it was retrospective from the 60s. That's just beyond ridiculous and tax terrorism. It isn't just limited to foreign companies. Back in the 90s Maha State Electricity Board would randomly cut electricity, citing non payment of retrospective tariff increases. We always had fight it out in sessions court with 10-15 stacks of receipts. They went on with this nonsense until 2005 after Maha passed it's own version of Electricity act, 2003

Another sad thing was that by passing retrospective tax laws, the UPA destroyed the credibility of the Supreme Court and it's verdict. It also significantly diluted it's authority. In a way you can look at this as a Tax version of Shah Bano case. And people wonder why our institutions are weak. 🙄

The transaction has happened b/w 2 parties about the sale of a company that is present in india. Here the location of the company being put on sale should be the primary focus and not the location of the deal. Tmr people like Jeff bezos and Richard Branson, Elon musk may sign a deal in outer space as well . My doubt is shouldnt the location of the company that is being put on sale should be the one that should be made mandatory and taxes have to be paid for such sale transaction irrespective of the location of the sale transaction ? Another point is source of revenue . Any foreign company that wants to open their business in india or else where will bring investment from their parent country. that is one of the reasons foreign companies enjoys tax holiday so inorder to run their business here and earn money .if the parent company decides to sell their company present in india where they did business and earned money, then the company will have to pay taxes on such transaction in india because the location of the company that is being on sale is in india.

@@MrBalajip The old income tax focused on concept of location only but with global businesses things aren't easy, In this case when high court decided the case. The honourable high court said that the additional company created in Cayman Island was just a shell company which was made with an intention of tax evasion, it had no other businesses than the primary business of having it's stake in the company located in India. Therefore law is amended likewise, only the companies that derive substantial value from assets situated in India are taxed. 2. If we go by the location concept, Google and facebooks of the world would earn from every country and will pay zero tax as all their servers could easily be situated in some tax heavens. 3. If Elon Musk and Jeff Bezos sign a deal in outer space relating to an asset in India, they will be taxable both in the US and India subject to DTAA between both countries.

India is (has been) very liberal in taxation, compared to western developed countries. (But it lacks consistency though) Foreign companies come here, use our natural resources & human resource; why they hesitate to pay taxes then?

No.Companies opening their businesses in india enjoy tax holiday for so many years .20 years minimum inreturn for their investment . These companies don't retain the employment and remove their employees every year.they don't add significant new jobs every year.if one goes out,they just replace it with another person. No significant addition of new jobs . Why should they be given tax holiday on the profits that the company makes every year if jobs they offer .

India has honestly been too pleasant to Foreign Investors since 1991, since around 2016, apart from China it was one of the favorite foreign Investor destinations. The main problem in India is overpopulation, no matter how fast the job creation rate is it won't be able to match up with the people graduating each year.

Unlike what you may believe, there have been several judgements even by our high courts and supreme courts that have retrospectively applied criminal laws. The judges basically dont give a d@mn about the constitution and can/will give judgements if they feel like it.Speaking from personal experience I truly believe we have one of the worst and most corrupt criminal justice system in the world.

@@clumsyclicker3199 at least they are not going after other entities. These cases are leftovers from UPA. Withdrawing them sets precedent for future which GoI wants to avoid. There's no easy way out.

@@clumsyclicker3199 legal precedent. If they don't contest it, then it invites other arbitration especially those regarding pharma. That's one of the reasons policymakers (Particularly both Chief Economic Advisors Sanjeev Sanyal and K Subramanian) begrudgingly want these cases to run it's course. Like I said, there isn't an easy way out.

Great Job bisbo, u have definitely put lot of efforts. 👍👍 Adding to Vodafone case, I had heard that Revenue Department Officials who were responsible for favorable judgement at HC, were actually Double Agents. Because after retirement (which was due around HC hearing) Rev. Dept. Off. joined Vodafone Team in SC appeal. This was also one of the reason why the case went 180⁰, at HC & SC stage.

@@oliverqueen5095 Two points were highlighted as I can remember. One was the corporate governance and the other one was collusion with the top directors of ISRO. So the contract became VOID in that case I don't think GOI would need to consult with them.

Very well explained 👌🏻Unfortunately the judiciary today is more engaged in legalising the immoral than solving problems of the innocent 😏 Cairn and Vodafone are clearly trying to play India as a tax haven - which it is not. Against the seizure orders of Hague, can't the Indian government in turn seize Cairn Energy oil fields which is at the bottom of the argument ? If not then renegotiate a fee structure through which settlement money is renegotiated to come back to the govt coffers. Bisbo - Please also make a video on Raj Kundra case as well.

Sir, I'm surprised that the political angle of the matter is left out. The tax demand and retrospective taxation law was the handiwork of Pranab Mukherjee, who well knew that the same would never pass muster in courts. His whole purpose was to put the Congress government of MMS in the dilemma, you mentioned in the end of your video, as he was annoyed at not being made PM in place of MMS.

I totally support cairn; I mean these politicians n babus changes rules whenever they wants without obliging contract. Even when Govt changed in 2014; Arun jailtey then FM said in parliament that it's a Tax terrorism but didn't do anything regarding this. Karma will hit these babus n politicians. So finally govt. See there is this thing where govt should follow a law until it is scrapped whether moral or immoral. Scrapping immoral laws is an incentive of good governance. It is the duty of SC to decide on the constitutionality of the law made if challenged, which SC did it's part morally.
