This may get some more views as Zia Yusuf has recently make a substantial donation to very controversial far-right political party in the UK. He is campaigning on their behalf making claims that the curious will want to check out. This was interesting to watch as Yusuf’s claims and how Macdonald describes the company are somewhat at odds. They sold out to Capital One - a very poor decision ethically: guns;, NRA, Elbit Systems. But knowing of that decision, it doesn’t surprise me in the least that Yusuf has now aligned himself to the far-right.

This is telling. My company is a long time MacPractice user and since Valsoft acquired MP in 2020, they have ceased software development. Contrary to what Khoubbleh says, despite significant increases in pricing since 2020, MacPractice has NOT and does NOT deliver "way more in value" at all. Joe is full of crap. MP hasn't provided any improvements since 2020. All they do is push their business services, like outsourced billing. Today, after a recent update MacPractice doesn't function and keeps crashing and we can't submit medical claims. Remaining with a company that serves only as a revenue stream for Valsoft, puts my company is a very vulnerable position. I will switch EHR's before year's end.

Good story and outcome. My takeaways: - Had he structured his company in the Built To Sell style, it wouldn't have taken him 3 months to get through due diligence. - From Semrush's perspective, it makes sense to buy a digital property with an audience of qualified leads. Customer growth play from them. - Ask for more! He could've asked for more than 5M and negotiated to get a better deal.

I suggest the following analysis for the benefit of anyone else who might find themselves in the same situation. If you have created something of great value there are two possibilities. 1. you were lucky. Lightning is unlikely to strike twice in the same place. Take the money and run. 2. You were clever. You can do it again, take the money and run. Have a fabulous holiday, then repeat the process as often as you wish. And teach it to your children, and anyone else you care about.

At 44:20, Jason saying "some founders give nothing to staff" Not cool. Having worked at startups, I would say, that stops most great talent from working there. One startup I was at started skimping on stock option grants/vesting and we were unable to hire some great talent who came through and interviewed. On an earlier job hunt, a startup I interviewed with said "we don't offer stock options, but when we go public, we're going to take care of people" If you're smart enough to produce amazing work outcomes, you're repelled by the self-delusional attitude by the person making that statement. ('they'll trust me when I say we'll take care of them') If you want engineers to work 80, 100 hour weeks, and you're not going to give stock option incentive, when 99.99% of startups will, it's not happening. .

When the seller rolls say 30% into the newco how does the PE company know how much equity to offer the seller in the newco? Presumably since the second bite of the apple will be much larger this equity stake in the potentially larger newco would likely be single digit equity. Interested to know how this is calculated.
